User Roles & Specific Obligations
DeepCap serves different user types with distinct rights and responsibilities. By using our platform, you agree to the obligations specific to your role:
Universal Obligations: All users must provide accurate information, comply with applicable laws, respect intellectual property rights, and not engage in fraudulent or manipulative activities.
Platform Description & Limitations
DeepCap is an AI-powered platform that provides intellectual property valuation services and facilitates the trading of IP-backed digital assets. Our platform combines advanced artificial intelligence with blockchain technology to create a marketplace for intellectual property.
- • Smart contracts may contain bugs or vulnerabilities beyond our control
- • Blockchain network forks, congestion, or failures are outside our responsibility
- • AI valuation tools provide decision-support only, NOT professional financial advice
- • Market conditions can change rapidly, affecting asset values unpredictably
- • Third-party integrations may fail or become unavailable

Acceptance of Terms
- By accessing or using DeepCap's platform, you agree to be bound by these Terms of Service.
- If you do not agree to these terms, you may not use our services.
- These terms apply to all users, including browsers, vendors, customers, merchants, and contributors.
- We reserve the right to update these terms at any time without prior notice.
Platform Description
- DeepCap is a blockchain-based platform for intellectual property tokenization and trading.
- We facilitate the creation, listing, and trading of tokenized IP assets including patents, trademarks, and copyrights.
- Our platform uses smart contracts to automate transactions and ensure transparency.
- We provide tools for IP valuation, market analysis, and portfolio management.
User Accounts and Eligibility
- You must be at least 18 years old to use our platform.
- You must provide accurate and complete information during registration.
- You are responsible for maintaining the security of your account credentials.
- You must comply with all applicable laws and regulations in your jurisdiction.
- We reserve the right to suspend or terminate accounts that violate these terms.
Intellectual Property Assets
- You represent that you own or have the right to tokenize any IP assets you submit.
- All IP assets must be legally valid and enforceable.
- You grant us a license to display and promote your IP assets on our platform.
- We do not guarantee the validity, enforceability, or value of any IP assets.
- You are responsible for maintaining and defending your IP rights.
Trading and Investment Risks
- Trading IP tokens involves significant financial risk and may result in loss of capital.
- The value of IP tokens can be highly volatile and unpredictable.
- Past performance does not guarantee future results.
- You should only invest what you can afford to lose.
- We do not provide investment advice or recommendations.
- You are solely responsible for your trading decisions.
Prohibited Activities
- Submitting fraudulent, invalid, or infringing IP assets.
- Manipulating token prices or engaging in market manipulation.
- Using the platform for money laundering or other illegal activities.
- Attempting to hack, disrupt, or compromise platform security.
- Creating multiple accounts to circumvent restrictions.
- Violating any applicable laws or regulations.
Fees and Payments
- We charge fees for various platform services including listing, trading, and transactions.
- All fees are clearly disclosed before you complete any transaction.
- Fees are non-refundable except as required by law.
- We reserve the right to change our fee structure with notice.
- You are responsible for any taxes related to your use of the platform.
Additional Legal Terms
Limitation of Liability
To the maximum extent permitted by law, DeepCap shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or use, incurred by you or any third party.
Indemnification
You agree to indemnify and hold harmless DeepCap and its affiliates from any claims, damages, or expenses arising from your use of the platform or violation of these terms.
Governing Law
These terms are governed by the laws of Delaware, United States. Any disputes will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
Severability
If any provision of these terms is found to be unenforceable, the remaining provisions will continue to be valid and enforceable.
Dispute Resolution
We believe in resolving disputes efficiently and fairly. All disputes must follow this structured process:
Contact our support team at disputes@deepcap.ai with detailed information. We'll work with you to resolve the issue through direct communication and good faith negotiation.
If internal resolution fails, disputes proceed to binding mediation through a mutually agreed mediator or the Finnish Arbitration Institute. Costs are shared equally.
Final disputes are resolved through binding arbitration under Finnish law, seated in Helsinki. The arbitrator's decision is final and enforceable. EU consumer protection laws apply where applicable.
Informal Resolution
Before filing a claim, you agree to try to resolve the dispute informally by contacting us at legal@deepcap.com. We will attempt to resolve the dispute within 60 days.
Binding Arbitration
If we cannot resolve the dispute informally, any legal dispute will be resolved through binding arbitration rather than in court, except that you may assert claims in small claims court if your claims qualify.
Class Action Waiver
You agree that any arbitration will be limited to the dispute between you and DeepCap individually. You waive any right to participate in a class action lawsuit or class-wide arbitration.
Note: You agree to resolve disputes individually and waive rights to class action lawsuits, except where prohibited by local consumer protection laws.
Token & Securities Compliance
Your Regulatory Responsibilities:
- Research and understand your local securities, tax, and IP trading laws
- Consult qualified legal and tax professionals before trading
- Comply with all applicable reporting and registration requirements
- Understand that regulatory changes may affect token classification
- Accept full responsibility for compliance in your jurisdiction
Regulatory Evolution: As blockchain and IP tokenization regulations develop, we may need to modify our services or restrict access in certain jurisdictions. We'll provide reasonable notice of such changes.
Governing Law
These Terms of Service shall be interpreted and governed by the laws of Finland and applicable EU regulations, without regard to conflict of law provisions. Finnish courts have jurisdiction, subject to the dispute resolution process outlined above.
Terms Updates
We reserve the right to modify these terms at any time. We will notify users of any material changes by email or through our platform. Your continued use of our services after such changes constitutes acceptance of the updated terms. We recommend reviewing these terms periodically.
Acknowledgment
By using DeepCap's platform, you acknowledge that you have read and understood these Terms of Service and agree to be bound by them. These terms constitute the entire agreement between you and DeepCap regarding your use of our platform.
